Shake It Off... The Stock Drop
Okay so CoreWeave is buying Core Scientific for a cool $9 billion. I know it sounds like a lyric from one of my more cryptic songs right? Stocks took a bit of a tumble which let's be real is just par for the course. It's like when I release a new album and the internet has approximately five seconds before deciding whether to crown it the best thing ever or to 'begin again' with a different artist. CoreWeave CEO Mike Intrator said it takes time for the market to understand the value. *eye roll* Tell me about it Mike. It took people years to realize that 'All Too Well' was more than just a catchy tune about a scarf!
No More Rent! (Unless...)
Apparently this deal eliminates $10 billion in future lease obligations. Intrator said 'We're not paying rent for the next 15 years!' Which is great I guess if you're into that sort of thing. Me? I'm still trying to figure out if I should buy another Tribeca apartment or maybe invest in a small island somewhere. Decisions decisions. This deal expands CoreWeave's access to power and real estate. Suddenly I'm wondering if I should be diversifying my portfolio into... data centers? Maybe that's what all the cool kids are doing these days. I will need to look up what a 'gigawatt' is...
Crypto Minefield or AI Paradise?
Now here's where it gets interesting. Core Scientific has a cryptocurrency mining business responsible for 89% of their first quarter revenue. CoreWeave can either ditch it or convert it to handle AI workloads. Intrator said they've 'gone through the conversion process.' Sounds like my dating life: constantly converting from 'potential boyfriend' to 'song inspiration.' Anyway apparently converting these sites is cheaper than setting up new AI data centers. Smart move CoreWeave! Because let's be honest nobody wants to pay full price when they can get a remix for less.
Hyperscalers and the Art of Third Parties
Intrator mentioned that hyperscalers like Amazon Web Services use third parties for some infrastructure. 'There's a reason that they do that and those reasons kind of are applicable to us too.' It's like when I collaborate with other artists. Sometimes you just need a different perspective to make something truly magical. Or in this case to build really really big data centers. Because if I am going to use AI to write my songs I need to know where it is all going to be stored!
Deal Details: Don't Hold Your Breath
Shareholders of Core Scientific will get 0.1235 CoreWeave shares for each share they own implying a $20.40 per share valuation. Core Scientific shareholders will own less than 10% of the combined company. So basically CoreWeave is like 'We're getting the band back together but you're mostly on tambourine.' This deal could have happened earlier but Core Scientific rejected CoreWeave's offer last year. See? Rejection isn't just for love songs. It's everywhere! Who knew? All of this is expected to close in the fourth quarter of 2025 pending approvals. Mark your calendars! It's going to be a long wait.
Blank Space or Happily Ever After?
So what does it all mean? Well I'm not exactly sure. But if this acquisition leads to better AI and more cat videos I'm all for it. Just promise me you won't use AI to write my next song. I still want to be able to say 'I write my own lyrics!' Anyway time will tell if this deal is a 'Love Story' or if it ends up in the 'Blank Space' of business deals gone wrong. In the meantime I'll be here writing songs about it. As always.
